Contract-offer for the provision of services for organizing participation in the Forum

State budgetary institution of culture «The National Museum of the Republic of Tatarstan», represented by General Director Gulchachak Rakhimzyanovna Nazipova, acting on the basis of the Charter, hereinafter referred to as the Performer, as the First Party, and ________________________ hereinafter referred to as the Customer, as the Second Party, have concluded this Contract as follows:

  1. Subject of the Contract

1.1. The Performer is to provide services on organizing participation of the Customer in the International Museum Forum in Kazan (hereinafter — Forum), and the Customer is to pay in due time and in full amount the registration fee for the participation in the order and under the conditions contracted.

1.2. The Forum period: September 8th, 2020 — September 12th, 2020.

1.3. The Forum venue: the Republic of Tatarstan, the city of Kazan.

  1. Procedure for the Conclusion of the Contract

2.1. The offer is considered to be accepted by the Customer and the Contract is considered to be concluded by the Parties since the moment of the Customer has accomplished the whole of the following actions:

2.1.1. Application filing for the Forum participation is in e-mode at the following Performer’s URL-address https://forum.tatmuseum.ru/registration/. Forwarding the Application is to be accomplished by filling out the Registration Form and activating hypertext element (the button), which contains lettering «Register». Forwarding the Application is the basis for the e-mode invoice arrangement for the services rendered.

2.1.2. The Customer has the due bill settled.

2.2. The Contract is considered to be concluded regarding the services specified in the invoice since the moment of its prompt payment.

2.3. In order to comply with Сlause 3 Article 434 and Clause 3 Article 438 of the Civil Code of the Russian Federation the written form of the Contract is considered to be appropriate, if the person entitled, in due time determined for its acceptance, has performed the actions on accomplishing the Contract terms specified in the service offer, including the action on paying the Performer’s remuneration.

2.4. The Contract is considered to be concluded since the moment of the payment under the contract.

  1. Rights and obligations of the Parties

3.1. Duties of the Performer.

3.1.1. The Performer is to render the services on organizing the Customer’s participation in the International Museum Forum. The Performer is to provide the Customer with the materials essential to work at the Forum, which the Performer is to hold in accordance with the approved Program.

3.1.2. The Customer Responsibilities.

3.1.3. The Customer is to pay the Registration fee for the Forum participation in accordance with Clause 3 contained herein.

3.1.4. The Customer accepts the work performed by the Performer by signing the Act of acceptance of services rendered after the Forum has been held.

  1. CONTRACT PRICE AND RENUMERATION.

The registration fee per one participant is defined in the following order:

— when paying before August 08th, 2020 — 1 000 Rubles, 20% V. A. T. included;

— when paying from August 9th, 2020 and on the day of registration — 1 500 Rubles, 20% V.A.T. included;

4.1. Payment of a bank cash transfer fee is performed on the organizer’s account.

4.2. Payment of registration fees by the Customer is to be performed in Rubles as an advance payment in the amount of 100% of the payment transfer to the Performer’s settlement account indicating in payment order of surname, first name and patronymic of the Customer participating in the forum.

4.3. If the Customer is an individual, payment for Services is allowed using a Bank card by using the Internet acquiring gateway from Sberbank.

4.3.1. For payment (entering your card details), you will be redirected to the Sberbank PJSC payment gateway. The connection to the payment gateway and the transfer of information is carried out in a secure mode using the SSL encryption Protocol. If your Bank supports secure Internet payment technology Verified By Visa, MasterCard SecureCode, MIR Accept, J-Secure you may also need to enter a special password to make a payment. This site supports 256-bit encryption. The confidentiality of the personal information provided is ensured by Sberbank PJSC. The entered information will not be provided to third parties except in cases stipulated by the legislation of the Russian Federation. Bank card payments are made in strict accordance with the requirements of MIR and Visa Int. payment systems, MasterCard Europe Sprl, JCB.

  1. Responsibility of Parties

5.1. In case of non-fulfillment or improper fulfillment of the terms of the Contract, the Parties are liable in accordance with the current legislation of the Russian Federation.

5.2. Disputes and disagreements that may arise in the performance of this Contract will be resolved, if possible, through negotiations between the Parties. Disputed issues on which the Parties do not reach an agreement are subject to consideration at the location of the Performer.

  1. Force Majeure

6.1. The Parties shall be exempt from liability for partial or full failure to perform obligations under this Contract in case of proven force majeure, to wit: earthquake, wildfire, walk-out, decisions of the government or other similar circumstances arising after the signing of this Contract.

6.2. A party that is unable to fulfill its obligations under this Contract due to force majeure circumstances is obliged to notify the other Party of the occurrence of such circumstances within three days.

  1. Changes and termination of the Contract

7.1. All changes and additions to this Contract are valid if they are made in writing and signed by the Parties.

7.2. Either Party has the right to terminate this contract prematurely and unilaterally by notifying the other Party in writing at least 15 days before the beginning of the Contract.

7.3. Registration fees refund is carried out according to the following procedure:

— before September 7th, 2020 — without penalty;

— starting from September 8th, 2020 and later on monetary means are not returned.

  1. Final provisions

8.1. The present Contract comes into force from the moment of its signing and is valid until the Parties fully fulfill their obligations.

8.2. In case of any of the Parties changes its location, name, bank details, and other things, the Party must notify in writing the other Party within 10 business days.

8.3. This contract is drawn up in two (2) originals in English and in Russian, signed and made in duplicate, one copy for each Party, both of them are of equal legal force.
